If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Service Level Agreements (SLA)

TakeoffSMS strives to provide an enterprise-grade service. Our commitment to uptime and performance is outlined below:

• Uptime Guarantee: We guarantee a 99.99% monthly uptime for our core API endpoints.
• Maintenance Windows: Scheduled maintenance will be communicated at least 48 hours in advance and will typically occur during low-traffic periods.
• SLA Credits: If we fail to meet our uptime guarantee, eligible customers may request service credits as detailed in our comprehensive SLA documentation.

3. API Usage Policies

To ensure the stability and reliability of the Service for all users, you must adhere to the following usage policies:

• Rate Limits: You must respect the rate limits associated with your tier. Automated systems should implement appropriate exponential backoff strategies when encountering 429 Too Many Requests responses.
• Acceptable Use: You may not use the Service to transmit spam, unsolicited marketing messages, or content that violates WhatsApp's Commerce or Business Policies.
• Security: You are responsible for securing your API keys. TakeoffSMS will never ask for your API keys via email or support tickets.

4. Billing and Refunds

Our billing practices are designed to be transparent and predictable:

• Payment Terms: Fees are billed in advance on a monthly or annual cycle, depending on your selected plan. Usage-based fees (e.g., per-message costs) are billed in arrears.
• Refund Policy: We offer a 14-day money-back guarantee for new subscriptions. After this period, all fees are non-refundable unless legally required or specifically granted by our support team in exceptional circumstances.
• Taxes: All fees are exclusive of applicable taxes, which will be added to your invoice based on your billing location.

5. Modifications to the Service and Terms

We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We may also revise these Terms from time to time. The most current version will always be posted on our website. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms.
